COMPLEX SALE OF THE MCCALL PATTERN COMPANY AND TRANSFER OF INTERNATIONAL ASSETS
We represented our longtime client The McCall Pattern Company in the sale of its business to CSS Industries. In preparation for the sale, Deborah Squiers undertook an extensive trademark review to ensure proper filings in dozens of countries regarding the various McCall trademarks (including MCCALLS, BUTTERICK, VOGUE AND SEE & SEW). She then oversaw the IP aspects of the transaction, negotiating the intellectual property representations and warranties and coordinating the proper transfer of the IP. Peter Porcino handled the sale and oversaw the transfer of assets in the U.S., the United Kingdom, Australia and New Zealand where McCall owned subsidiary operations. In addition to the sale of assets by five different companies, there were land transfers in Kansas and England, pension plans to be transferred in the U.K. and U.S. and extensive employee rights statutes to review and comply within the U.K., Australia and New Zealand. Bob Giordanella and Simon Gerson lent their expertise and Sara Herchenroder was instrumental in overseeing due diligence, data room management and preparation of disclosure schedules. Peter Porcino was retained post-closing to act as Sellers’ Representative to oversee the liquidation of the Seller’s companies.
