Multiple Hundred-Million Dollar Sale of Firm’s Oldest Client to Kohler Co.

Simon Gerson served for more than 20 years as general outside counsel and corporate secretary of Curtis Instruments, Inc., our firm’s oldest client.  He lead the legal team in the multiple hundred-million dollar sale of Curtis Instruments, Inc. to Kolher Co.  The legal team consisted of members of Cowan, Liebowitz & Latman, P.C. and merger counsel, Willkie Farr and Gallagher,

Curtis, a multinational company, is a leading electrification partner to OEMs across a broad range of markets, including material handling, golf and recreational vehicles, mobile elevated work platforms, construction, agriculture, turfcare, marine and select on-road segments.

Our deceased founding partner, Sidney I. Liebowitz, represented and advised Curtis, a three-generation family-controlled company, since 1960 when Curtis was founded by Edward Marwell.  Simon Gerson assisted in recent years, and he provided advice to the Board of Directors regarding its legal responsibilities and obligations with respect to the succession merger partner, coordinated due diligence efforts, and participated in the negotiation of the merger agreement.
